Software License Agreement
Effective Date: 22/04/2025
This Software License Agreement (“Agreement”) governs the use of software products developed and delivered by Binary Labs Solution (“Provider”) to clients (“Licensee”).
1. Grant of License
Binary Labs Solution grants the Licensee a non-exclusive, non-transferable, and revocable license to use the delivered software strictly for their business operations, as outlined in the agreed-upon proposal or contract.
2. Ownership
All intellectual property rights, including source code, design assets, and documentation, remain the sole property of Binary Labs Solution unless explicitly transferred under a separate written agreement.
3. Permitted Use
Licensees may:
Use the software for internal business purposes
Host the software on approved servers
Customize front-end interfaces (if allowed in the scope)
Licensees may not:
Distribute, resell, or sublicense the software without written consent
Reverse engineer, decompile, or disassemble any part of the software
Remove or alter copyright notices
4. Maintenance and Updates
Binary Labs Solution may provide software updates or patches under a maintenance agreement or support plan, if applicable. Custom updates may be charged separately.
5. Termination
This license may be terminated if the Licensee breaches any terms of this agreement. Upon termination, the Licensee must cease use of the software and destroy all copies in their possession.
6. Warranty and Liability
The software is provided “as-is” unless otherwise stated in a service contract. Binary Labs Solution is not liable for indirect or consequential damages arising from software use.
We may update these terms occasionally. Continued use of our services after changes means you accept the updated terms.
